Our total liability to you for all damages arising out of or relating to these Terms or the Service shall not exceed the amount you paid us for the Service in the twelve (12) months immediately preceding the claim, or fifty thousand Philippine Pesos (₱50,000.00), whichever is greater.

This limitation of liability applies regardless of the theory of liability (contract, tort, negligence, strict liability, etc.) and even if we have been advised of the possibility of such damages.

9. Indemnification

You agree to defend, indemnify, and hold harmless IronBuild Construction and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

This indemnification obligation will survive these Terms of Service and your use of the Service.

10. Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination:

• Your right to use the Service will cease immediately
• All provisions which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability
• Outstanding payments for services rendered shall become immediately due
• Any work-in-progress shall be completed or terminated as mutually agreed

If you wish to terminate your account, you may simply discontinue using the Service and notify us of your intent to terminate existing service agreements.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

If you do not agree to the modified Terms, you must stop using the Service and terminate any existing service agreements.

12. Governing Law and Jurisdiction

These Terms shall be interpreted and governed by the laws of the Republic of the Philippines. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Iloilo City, Philippines.

The parties agree to submit to the personal and exclusive jurisdiction of the courts located in Iloilo City for the resolution of any disputes arising from these Terms or the Service.

Any cause of action or claim you may have must be brought within one (1) year after the cause of action accrues, otherwise such cause of action or claim is permanently barred.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

The failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
